"Krest", "we", "us" refers to the operator of this Service. Krest is an AI-native fundraising-intelligence product: it researches a company and produces a researched, ranked view of investors that may be relevant to it, along with supporting context.

The current build is a demonstration. The company profiles, competitor information, investor lists, match scores and rationales it shows are an illustrative sample, not live research about real investors' current intentions. Fund names are public; the scores and reasoning attached to them are synthetic.

You must be at least 18 and able to form a binding contract. If you use the Service for an organisation, you confirm you are authorised to accept these terms on its behalf.

You keep all rights in the company websites, pitch decks, text and other materials you submit ("Inputs"). You grant us a non-exclusive, worldwide licence to host, process and analyse your Inputs solely to operate and improve the Service for you.

You are responsible for having the rights to submit your Inputs. Do not submit personal data about others, or confidential information belonging to third parties, without a lawful basis and any necessary permission.

Output produced by the Service ("Output") is generated by automated systems and machine-learning models. It may be inaccurate, incomplete, out of date, or unsuitable for your situation. Output is provided "as is".

As between you and us, you may use the Output you receive, subject to these terms. The same or similar Output may be generated for other users; Output is not exclusive to you.

You are responsible for reviewing and independently verifying any Output before relying on it for any decision. Do not treat a match score, a company profile, or a rationale as a fact without checking it against primary sources.

Krest is a research and information tool. It is not a licensed investment adviser, broker-dealer, placement agent, capital-raising adviser, arranger, dealer, exempt market dealer, or a financial, legal, tax or accounting adviser, and it does not provide advice, services or introductions of any of those kinds.

Krest does not solicit, offer, arrange, negotiate, underwrite, place or effect any transaction in securities or other financial instruments, does not hold or handle client money or assets, and does not receive success fees, commissions or other transaction-based compensation in connection with any financing. It is not registered or authorised with, and is not supervised by, any securities regulator or self-regulatory organisation in any jurisdiction.

Nothing in the Service is, or should be relied on as, a recommendation, solicitation, offer or inducement to buy, sell or subscribe for any security, to enter into any financing, or to engage any particular investor. "Match" scores, investor lists and rationales are informational research signals to help you do your own work — not advice, and not a prediction of any outcome. We do not guarantee investor interest, meetings, or capital raised.

The offer and sale of securities by way of private placement is regulated. Depending on where you, your company and your prospective investors are located, rules that may apply include, without limitation: in the United States, the Securities Act of 1933 (including Section 4(a)(2) and Regulation D, Regulation S and Regulation CF), the Securities Exchange Act of 1934 (including broker-dealer registration under Section 15), the Investment Advisers Act of 1940, FINRA rules, and state "blue sky" laws; in the United Kingdom, the Financial Services and Markets Act 2000 (including the general prohibition in section 19 and the financial-promotion restriction in section 21), the Financial Services and Markets Act 2000 (Financial Promotion) Order 2005, the FCA Handbook (including COBS), and the UK Prospectus Regulation; in the European Union / EEA, Regulation (EU) 2017/1129 (Prospectus Regulation), Directive 2014/65/EU (MiFID II), Directive 2011/61/EU (AIFMD) and applicable national private-placement regimes; and in India, the Companies Act, 2013 (including Sections 42 and 62) and the Companies (Prospectus and Allotment of Securities) Rules, 2014, the Securities and Exchange Board of India Act, 1992, the SEBI (Issue of Capital and Disclosure Requirements) Regulations, 2018, and the SEBI (Alternative Investment Funds) Regulations, 2012.

You are solely responsible for determining whether, and how, you may lawfully approach investors and raise capital, and for complying with all applicable securities, financial-promotion, marketing, anti-money-laundering and other laws in every relevant jurisdiction. Obtain your own advice from licensed legal and financial advisers before acting. Krest accepts no responsibility for your fundraising activities or for any breach by you of laws governing offers of securities or private placements.

• Model changes. We may retrain, tune, replace or reconfigure the models and prompts behind the Service, or change third-party model vendors, at any time and without notice. Resulting changes in behaviour or Output are not a breach of these terms.
• Upstream dependencies. The Service relies on third-party model providers and data sources. Their changes, rate limits, outages, deprecations or errors are outside our control and may affect availability or quality.
• Adversarial and injected content. To research a company Krest reads third-party web content. That content can contain hidden, misleading or manipulative instructions ("prompt injection") that influence Output. Treat Output accordingly and verify anything consequential.

You agree not to:

• feed Output directly into a consequential automated decision (for example an automated investment, credit, hiring or eligibility decision) without meaningful human review;
• use the Service to break the law, infringe intellectual-property or privacy rights, or to deceive, harass or harm others;
• scrape, resell, sublicense or redistribute the Service or its Output as a standalone dataset or competing product;
• reverse engineer the Service, probe its infrastructure, or attempt to extract training data, model weights, prompts or other users' data;
• circumvent usage limits, security controls or access restrictions.

We may suspend or terminate access for a breach of this section, including where misuse creates risk for us or other users.

The Service, including its software, design, brand, and the text and structure of the site, is owned by us or our licensors and is protected by intellectual-property law. These terms grant you a limited, revocable, non-transferable right to use the Service as intended, and nothing more.

The Service links to and may integrate third-party services (for example a scheduling provider for booking calls). Your use of those services is governed by their own terms and privacy policies. We are not responsible for third-party services.

The current build is provided free of charge for evaluation. If we introduce paid plans, the applicable pricing and payment terms will be presented to you before you incur any charge.

To the fullest extent permitted by law, the Service and all Output are provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of accuracy, completeness, availability, non-infringement, or fitness for a particular purpose.

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential or exemplary damages, or for lost profits, revenue, data, goodwill, or business opportunities, arising out of or relating to the Service or any Output.

To the fullest extent permitted by law, our total aggregate liability arising out of or relating to the Service will not exceed the greater of the amount you paid us for the Service in the 12 months before the claim, or £100. Nothing in these terms limits liability that cannot be limited under applicable law.

You will indemnify and hold us harmless from claims, losses and expenses (including reasonable legal fees) arising from your Inputs, your use of the Output, or your breach of these terms or of applicable law.

We may change the Service, and we may update these terms. If we make a material change to these terms, we will take reasonable steps to notify users. Your continued use after an update means you accept the updated terms.

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, without prejudice to any mandatory consumer-protection rights you have where you live.
